These Terms govern your use of the Syntecton website and the Syntecton Construction Operating System, operated by SYNTECTON LLC ("Syntecton," "we," "us").
Contents
These Terms cover two different things, and it matters which one you are using:
By using the Site or the Platform, you agree to these Terms. If you are agreeing on behalf of a company, you confirm you are authorised to bind it, and "you" means that company.
Platform access requires an account. You are responsible for the accuracy of your account information, for the actions taken under your account, and for keeping credentials confidential. Tell us promptly at [email protected] if you believe an account has been compromised.
Your subscription covers a defined set of internal users — your own staff. It also allows unlimited external project participants — owners, architects, engineers, consultants, subcontractors and inspectors invited to a project — subject to these Terms and to reasonable use. External participants get only the access the inviting company grants them.
Reasonable use means external participation in genuine construction projects you are delivering. It does not extend to reselling access, granting access to a competing product, or admitting participants unconnected to your projects.
Your project data is yours. As between you and Syntecton, you retain all rights to the drawings, specifications, records, correspondence, financial information and other content you or your project participants put into the Platform ("Customer Data").
You grant us the limited rights necessary to host, process, transmit, back up and display Customer Data in order to operate the Platform, provide support, and meet legal obligations. We do not use Customer Data for any other purpose.
You are responsible for having the rights to the Customer Data you upload, and for ensuring your use of the Platform complies with your own contractual and regulatory obligations — including record-retention duties and any confidentiality owed to project owners or participants.
You can export Customer Data throughout your subscription. After termination we will make it available for export for thirty (30) days, after which we may delete it. Tell us before that window closes if you need longer.
Do not use the Site or Platform to: break the law; infringe anyone's rights; upload malware; probe, scan or attempt unauthorised access; scrape or bulk-extract content; interfere with or overload the service; reverse engineer it except where that right cannot lawfully be excluded; resell or sublicense access; or use it to build a competing product.
You are responsible for the conduct of users and project participants under your account.
Fees, term, included capabilities and the number of internal users are set out in your Order Form. Pricing is tailored to annual construction volume, selected platform capabilities, internal team structure and implementation requirements — the Site publishes where pricing starts and which factors move it, but the Order Form is what binds.
Fees are stated exclusive of taxes, which you are responsible for other than taxes on our income. Unless the Order Form says otherwise, subscriptions renew for successive terms, and fees for a renewal term may change if we give notice before that term begins.
Content on the Site describing capabilities or pricing is informational and may change. It is not an offer, and a demonstration is not a warranty of any particular result.
We use commercially reasonable efforts to keep the Platform available, and we may take it down for maintenance. Any committed availability level or support response time is the one stated in your Order Form; these Terms do not create one.
We improve the Platform continuously and may add, change or remove features. We will not make a change that materially reduces the core functionality you are paying for during a paid term without giving you notice.
The Platform includes AI-assisted features. AI output is assistance, not a decision. It can be incomplete or wrong, and you must review it before relying on it — particularly for anything with contractual, financial, safety or regulatory consequence. Responsibility for the work product stays with you.
AI features do not constitute engineering, legal, accounting, insurance or safety advice, and are not a substitute for a qualified professional.
We do not use Customer Data to train foundation models for other customers. Where a feature is delivered through a third-party model provider, we send only what is needed to return the result.
The Platform connects to third-party services you choose to enable, including accounting systems and e-signature, storage and communication providers. Those services are governed by their own terms, and enabling one authorises us to exchange the data that integration requires.
We are not responsible for third-party services, their availability, or what they do with data you direct us to send them.
The Site and Platform, and all software, design, content and documentation in them, are owned by Syntecton or its licensors and are protected by intellectual property law. You get a non-exclusive, non-transferable right to use the Platform during your subscription, and nothing more.
If you send us feedback or suggestions, we may use them without obligation to you. This does not give us any right to your Customer Data.
Each of us may receive non-public information from the other. The receiving party will use it only to perform under these Terms, protect it with at least reasonable care, and not disclose it except to people who need it and are bound to comparable obligations, or where legally compelled.
We may suspend access where there is a security risk, a legal requirement, an overdue undisputed balance after notice, or use that materially breaches these Terms. Where practical we will tell you first and limit the suspension to what is necessary.
Either of us may terminate as set out in the Order Form. On termination your right to use the Platform ends, unpaid fees for the remainder of a committed term stay due unless the Order Form says otherwise, and the export window in section 03 applies.
Submitting a form is a request, not a binding agreement to purchase. The communications you receive depend on the consents you gave — see the Privacy Policy. You are responsible for the accuracy of what you submit and for the email address and phone number you provide.
By opting in you agree to receive the messages described at the point of consent. Message frequency varies. Message and data rates may apply. Reply STOP to opt out, HELP for help. Carriers are not liable for delayed or undelivered messages. Opting out of marketing does not necessarily stop transactional messages tied to a request you made.
Nothing on the Site or in the Platform is engineering, legal, accounting, insurance or safety advice. Construction decisions remain yours, and you should involve qualified professionals where the situation calls for it.
EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR AN ORDER FORM, THE SITE AND PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT IT WILL PRODUCE ANY PARTICULAR OUTCOME.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. EXCEPT FOR YOUR PAYMENT OBLIGATIONS AND EITHER PARTY'S INDEMNITY OBLIGATIONS, EACH PARTY'S TOTAL LIABILITY ARISING OUT OF THESE TERMS IS LIMITED TO THE FEES PAID OR PAYABLE BY YOU IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.
You will defend and indemnify Syntecton against third-party claims arising from your Customer Data, your use of the Platform in breach of these Terms, or your violation of law or third-party rights. We will defend and indemnify you against third-party claims that the Platform infringes their intellectual property rights.
The party seeking indemnity must give prompt notice, allow the other party to control the defence, and cooperate reasonably.
These Terms are governed by the laws of the State of Kansas, without regard to conflict-of-laws rules. The state and federal courts located in Johnson County, Kansas have exclusive jurisdiction, and both parties consent to venue there.
We may update these Terms. For material changes affecting the Platform we will give notice — by email or in the application — at least thirty (30) days before they take effect for a current subscription term. Continued use after that means acceptance. The "Last updated" date above always reflects the current version.
